Terms of Use
1. What these terms cover
These terms cover your use of expona.ai (the “site”), including its free tools such as the Decision Line Assessment and everything published here. By using the site, you agree to them and to our Privacy Policy.
Paid work is different. Every engagement is governed by a Master Services Agreement and a Statement of Work that both sides sign. These terms do not apply to that work, and where they would conflict, the signed agreement governs.
2. Prices and offers on the site
We publish our prices and price ranges on purpose, but they can change, and nothing on the site is an offer to provide services. The price and scope of an engagement are set in its Statement of Work.
3. The Decision Line Assessment and examples
The assessment estimates what preparation costs your business from the numbers you enter. Its figures are estimates, not guarantees, and they are only as good as the inputs. The bid or no bid example on the site is illustrative, not a client.
4. Information, not professional advice
What we publish is general information about our method and services. It is not legal, financial, tax or compliance advice, and you should not rely on it as such.
5. Using the site
Please do not:
- Use the site in a way that breaks the law
- Try to access systems or data you are not authorized to reach
- Upload malicious code or interfere with how the site runs
- Scrape or copy the site at scale, or use automated means to submit its forms
- Use the forms to send spam or to impersonate someone else
6. Intellectual property
The site, its content, the names of our services and methods, and the Expona brand belong to Expona. You are welcome to link to the site and to quote short passages with attribution. For anything else, ask us first.
Ownership of anything we deliver in an engagement is set by that engagement’s agreement. Under our standard terms, the deliverables are yours.
7. Other sites and services
The site links to other sites and uses some third party services, such as Calendly for scheduling. We are not responsible for their content or practices, and your use of them is governed by their own terms.
8. Disclaimer
The site and its free tools are provided “as is” and “as available”, without warranties of any kind, express or implied. We do not promise that the site will be uninterrupted or error free, or that any estimate it produces will match your results.
9. Limitation of liability
To the fullest extent the law allows, Expona is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, arising from your use of the site or its free tools. Our total liability for any claim about the site is limited to one hundred dollars ($100).
10. Indemnity
If your misuse of the site or your breach of these terms leads to a claim against us, you agree to cover the losses and reasonable legal costs that result.
11. Governing law and disputes
These terms are governed by the laws of the State of Utah, without regard to conflict of law rules.
If a dispute about the site or these terms comes up, we will first try in good faith to resolve it with you directly for at least 30 days. If that does not resolve it, the dispute will be settled by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, before a single arbitrator in Salt Lake County, Utah. The arbitrator’s decision is final and may be entered as a judgment in any court with jurisdiction.
Claims may be brought only individually, not as part of a class or representative action. Either side may still bring a qualifying claim in small claims court, or ask a court for an injunction to protect intellectual property. Any matter not subject to arbitration will be heard in the state and federal courts located in Salt Lake County, Utah.
12. Changes
We may update these terms. When we do, we will update the date at the top of this page. Continuing to use the site after a change means you accept the updated terms.
13. General
If any part of these terms is found unenforceable, the rest still applies. Not enforcing a provision is not a waiver of it. These terms, with our Privacy Policy, are the entire agreement about your use of the site.
14. Contact
